Master Services Agreement

1. Scope of Work

All work is defined in a separate Statement of Work (SOW). Any feature not explicitly listed in the SOW is out of scope and requires a separate written agreement and payment.

2. Payment Terms

Standard payment: 50% deposit before work begins, 50% on delivery and sign-off. Deposits are non-refundable once development begins.

3. Intellectual Property

All code, designs, and assets remain the property of Tevanox Software Uganda Limited until final payment is received in full. Upon final payment, ownership transfers to the client.

4. Delivery & Acceptance

Client has 14 days from delivery to test and either accept or request fixes. After 14 days, the work is considered accepted.

5. Warranty

Tevanox provides a 30-day warranty covering bugs in code we wrote. Third-party services are not covered.

6. Confidentiality

Both parties agree to keep all project details confidential unless written permission is granted.

7. Limitation of Liability

Tevanox is not liable for indirect damages, lost revenue, or issues caused by third-party service outages.

8. Governing Law

This agreement is governed by the laws of the Republic of Uganda.
